Terms of Service

The terms and conditions that govern your use of MailRater.com and our email marketing tools.

1. Acceptance of Terms

By accessing or using MailRater.com, including any tools, features, content, or services we provide (the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not access or use the Services.

2. Eligibility; Accounts and Security

You must be at least 13 years old (or older where required by law) to use the Services. You are responsible for your account credentials and for all activities that occur under your account. Keep credentials secure and notify us promptly of any suspected unauthorized use or security incident.

3. License and User Content

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business or personal use in accordance with these Terms. You are responsible for any content, prompts, inputs, or data you submit ("User Content"). You represent that you have all necessary rights to submit and process User Content through the Services and that your use complies with all applicable laws.

You retain ownership of your User Content. To operate and improve the Services, you grant us a worldwide, royalty-free license to host, process, display, and transmit your User Content solely to provide the Services to you and as otherwise permitted by our Privacy Policy.

4. Acceptable Use and Anti-Spam Compliance

When using the Services, you agree not to:

  • Violate any applicable laws, including anti-spam, privacy, and marketing laws (e.g., CAN-SPAM, GDPR/UK GDPR, and ePrivacy rules).
  • Harvest, scrape, or collect personal data without a lawful basis or in violation of recipients' rights.
  • Use the Services to send or generate unlawful, harmful, harassing, discriminatory, or deceptive content.
  • Probe, scan, or test the vulnerability of any system or network; interfere with or disrupt the Services.
  • Attempt to access data or accounts without authorization, or circumvent technical protections.
  • Use the Services to create or distribute malware, spam, phishing, or other harmful content.

You are solely responsible for complying with email marketing and outreach regulations, including obtaining required consent, honoring unsubscribe requests, and retaining appropriate records.

5. Third-Party Services and Subprocessors

The Services may integrate or rely on third-party services and providers, such as AI/email APIs (e.g., Gemini API) and advertising/monetization partners (e.g., Ezoic). Your use of third-party services may be subject to their terms and policies. We are not responsible for third-party content or services. See our Privacy Policy for processing details.

6. AI and Automation Features

Some features use automated systems and machine learning models to generate or validate content. Outputs may be inaccurate, incomplete, or inappropriate. Review and verify outputs before use. You are responsible for how you use outputs and for ensuring compliance with applicable laws and your internal policies.

7. Intellectual Property; Ownership of Outputs

We and our licensors own the Services and all related intellectual property rights. Except for the limited license in Section 3, no rights are granted to you. Subject to these Terms and applicable law, you may use the outputs generated from your inputs for your lawful purposes. You must not remove, obscure, or alter any notices or marks on the Services.

8. Feedback

If you provide feedback, suggestions, or ideas ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use and exploit the Feedback for any purpose without restriction or obligation to you.

9. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information. By using the Services, you agree to our data practices as described in the Privacy Policy.

10. Fees, Subscriptions, and Trials

Some features may be offered on a paid basis. If you purchase a subscription or paid features, you agree to pay all applicable fees and taxes. Payments are non-refundable except as required by law. We may change prices or features on notice to the extent required by law or the relevant offer.

11. Beta and Experimental Features

We may offer beta or experimental features that are provided "as is" and may be modified or discontinued at any time. We make no commitments regarding beta functionality or availability.

12. Availability; Modifications; Support

We may modify, suspend, or discontinue all or part of the Services at any time. We do not guarantee uninterrupted availability. Unless otherwise stated, support is provided on a commercially reasonable basis.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAILRATER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless MailRater, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your User Content, your use of the Services, or your breach of these Terms or applicable law.

16. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate access to the Services at any time with or without notice if we believe you have violated these Terms, pose a risk to us or others, or for any other reason as we deem appropriate. Upon termination, your right to use the Services ceases immediately.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which we are established, without regard to conflict of law principles. Any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law. You and MailRater agree to submit to the personal jurisdiction and venue of such courts.

18. Export Controls and Sanctions

You represent that you are not subject to sanctions or located in a restricted jurisdiction and will not use the Services in violation of export control or sanctions laws.

19. Changes to Terms

We may update these Terms from time to time. The updated Terms will be posted here with a revised "Last updated" date and, where appropriate, additional notice. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
